By accessing or using any part of the website/application, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website/application or use any Services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.

Any new features or tools which are added to the current website/application shall also be subject to the Terms of Service. You can review the most current version of the Terms of Service at any time on this website/application. We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our website/application. "Member" refers to individuals and organizations who have agreed to these Terms and registered as Members of this Service by completing registration to this website or by completing a booking.
"Guide" refers to a member of this site who completes registration in accordance with the provisions of Section 2, posts an Itinerary on this site, etc., and receives applications for tours, etc.
"Traveler" means an individual or group among the Members of this site and applies for bookings on this site, etc.
"Tour" means the experience provided to the Traveler.
"Itinerary" means the experience planned by the Traveler or the Guide.
"Transaction" means, on this Site, a contract between a Guide and a Traveler for the purpose of the Traveler participating in the Guide's Tour.

SECTION 1 - GENERAL CONDITIONS

We reserve the right to refuse Service to anyone for any reason at any time.

You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website/application through which the Service is provided, without express written permission by us.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

SECTION 2 - USING OUR SERVICE

Registration

A person who wishes to use the Service as a Guide, Traveler or Guest may apply to our website or app for registration to use the Service by agreeing to abide by the Terms of Use and providing certain information in a manner determined by us. Please note that the prior consent of a parent or guardian is required for the registration of a minor as a member.

We will determine whether or not a registration applicant who has applied for registration based on the preceding paragraph (hereinafter referred to as the 'Registration Applicant') can be registered, and if we approve registration, we will notify the Registration Applicant to that effect. The registration shall be deemed to have been completed upon such notification.

We may refuse registration if the registration applicant falls under any of the following items, and shall not be obligated to disclose any of the reasons.
-If there is any falsehood, error, or omission in all or part of the registered information provided to us.
-If the person is a minor, an adult ward, a person under curatorship, or a person under assistance, and the consent, etc. of a legal representative, guardian, curator, or assistant has not been obtained.
-Is an anti-social force, etc. (meaning an organized crime group, a member of an organized crime group, a quasi-member of an organized crime group, a company affiliated with an organized crime group, or any other similar person), or uses an anti-social force, etc., or is an anti-social force. If we determine that we have a socially unacceptable relationship with antisocial forces, etc., such as providing funds or benefits to.
-If we determine that the registration applicant is a person who has violated any contract with us in the past, or a person related to such person;

After registration is completed, the registration applicant will be able to use this Service, such as posting itineraries on this website, etc., as a Guide or Traveler.

It is also allowed for teams of guides or travel agencies to create an account under the following conditions:

1. The profile picture of the Guide’s account must be of a single person. No pictures of a group of guides, companies, logos, etc are allowed. The Guide can upload photos of the team or group of guides in the photo gallery.
2.. The Guide’s account name must be of an individual person. It can be the name of the team leader or one of the guides.
3.It is not allowed to mention the name of a company or website in the Guide’s profile description, photo gallery or messages to clients.
4.In the Guide’s profile, it is necessary to specify that there are several guides using the account. The names of the guides and the area the guides will be guiding should be mentioned in the Guide’s profile.
5. When a Guide answers a Traveler’s inquiry, the Guide should mention the name of the Guide who will be guiding the tour. Preferably the Guide who will guide the tour should be the one in contact with the Traveler.

Change of member registration information

If there are any changes to the registered information, the Members themselves must immediately carry out the procedures for the change using the method prescribed by us. However, even if a change is made, transactions initiated before the change is registered will be based on the information before the change was registered.

We shall not be held responsible for any damages caused by the member not appropriately changing the registered details.

Passwords

Members are responsible for storing their passwords and managing them appropriately, such as changing them regularly, so that they do not become known to others.

Members shall not allow third parties to use their passwords, nor shall they lend, transfer, buy or sell their passwords.

If we confirm that the entered email address and password match those registered as a member using our prescribed method, we will assume that the email address and password were used by the member themselves, and the member may be denied membership due to theft, unauthorized use, or other circumstances. Even if someone other than the user uses the site, we will not be held responsible for any damage caused as a result.

Withdrawal of membership

Members may use the Service only within the period of their valid membership registration, within the scope of not violating these Terms, and in accordance with the methods specified by us.

If a member wishes to withdraw from membership, they must promptly complete the withdrawal procedure according to the method prescribed by us, and the member will withdraw from membership after completing the prescribed withdrawal procedure.

If there is any sales amount to be transferred by us to the member at the time of withdrawal, the transfer shall be made by the method and date specified by the us. In addition, transfer fees and other expenses paid to financial institutions shall be borne by the member.

If a member has any debts owed to us at the time of withdrawal, the member shall lose the benefit of time on all such debts and must immediately pay the debts to us.

Suspension of use, cancellation of membership

If we determine that a member falls under any of the following items, we may, without prior notice, cancel the member's membership, prohibit the member from registering again, suspend all or part of the Service, cancel the transaction, or take any other action we deem necessary.
(1) When a member has violated these Terms of Use or laws and regulations, etc.
(2) When it has become clear that the user has violated these Terms of Service or laws and ordinances, etc. in the past
(3) When a password is used or allowed to be used illegally
(4) When a member uses or allows others to use the Service illegally
(5) When there are or are suspected to be false or insufficient information in the member registration
(6) When there is a problem with the credit of the credit card
(7) When a member becomes insolvent or unable to pay their debts, and a petition is filed for commencement of bankruptcy proceedings, civil rehabilitation proceedings, corporate reorganization proceedings, special liquidation, or any other similar proceedings
(8) When it has become clear that the borrower is or has been a member of antisocial forces or an organization engaged in antisocial activities
(9) When a member has a relationship with antisocial forces or an organization engaged in antisocial activities, or when it has become clear that a member has such a relationship
(10) When a member has provided information or contents of other Members to a third party without prior consent
(11) When there has been no response to inquiries or other communications requesting a response from us for 30 days or more
(12) When it is not appropriate to use the Service, register as a member, or continue to use the Service
(13) When the membership registration process is completed by a representative of the member, rather than by the member themselves or a legal entity.
Members may not request disclosure of the reason for any action taken in accordance with the preceding paragraph, nor file any objections, etc., and we shall not be liable for any damage or disadvantage incurred by a member as a result of such action.

In the event that any of the above items applies, the member shall naturally lose the benefit of time with respect to all debts owed to us, and shall immediately pay all debts owed to us.

Deletion of posts and information

If any of the following items apply, we may delete the information posted by the member on this site. In this case, we will notify you in advance or after the fact by any means we deem reasonable.
-If we determine that the posted content violates the prohibited acts stipulated in these Terms or any of the provisions of these Terms.
-If the capacity of information registered by a member exceeds the capacity prescribed by us.
-If the content registered by the member is determined to be an infringement of rights, defamation, or insulting expressions.
-When there is obscene expression, violent expression, expression that violates public order and morals, anti-social expression, or expression that we deem inappropriate. The member is solely responsible for the information posted by the member on the website, and we are not obligated to monitor or delete information regarding the preceding paragraph. Therefore, if we do not delete the information, the member or a third party we shall not be held responsible for any damage suffered by the User.

We shall not be held responsible for any damage suffered by a member or a third party due to the deletion of information posted by a member on this site through this Service based on this article.

If the contract for use of this Service is terminated for any reason, we shall promptly delete the member's registration information and information posted on this Service. However, if information posted on this Service is posted as an advertisement on external media other than this Service, the information may not be deleted.

Members shall treat non-public information disclosed by us in connection with this Service confidentially, unless we have given written consent.

Protection of personal information

The handling of Members' personal information by us shall be in accordance with the provisions of the privacy policy separately established by our Privacy policy, except in the cases stipulated in the following paragraphs. Members agree to the handling in accordance with the privacy policy.

We shall use the information provided by Members for the use of this Service and for notifications from us in connection with the use of this Service.

We shall transmit the member's information to the other party of the transaction to the extent necessary for the conclusion of the transaction of the Itinerary using this Service.

We may process the information provided by Members into statistical information in a form that does not identify individuals and may use it at its discretion.

SECTION 10 - ERRORS, INACCURACIES AND OMISSIONS

Occasionally there may be information on our website/application or in the Service that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without prior notice (including after you have submitted your order).

We undertake no obligation to update, amend or clarify information in the Service or on any related website, including without limitation, pricing information, except as required by law. No specified update or refresh date applied in the Service or on any related website, should be taken to indicate that all information in the Service or on any related website has been modified or updated.

In addition to other prohibitions as set forth in the Terms of Service, in using the Service, Guides and Travelers are prohibited from engaging in any of the following acts, or any act that the we deem to fall under any of the following items or its content:

(a) for any unlawful purpose;
(b) to solicit others to perform or participate in any unlawful acts;
(c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances;
(d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others;
(e) to plan and recruit Travelers for a Tour involving accommodation or transportation without obtaining the registration required by the Travel Agency Law;
(f) to plan and recruit Travelers for a Tour that violates the Travel Agency Law, Ryokan Business Law, or other related business laws;
(g) to plan itineraries and recruit travelers with advertisements, indications, or contract conditions that violate the Consumer Contract Act, the Act on Specified Commercial Transactions, or other related laws;
(h) to conduct a transaction without obtaining a visa or status of residence required by law;
(i) to conduct a transaction directly between a Guide and a Traveler without using this Service;
(j) a Guide soliciting a Traveler who has participated in an Itinerary to participate in a Tour held by the Guide other than the plans posted on this Service;
(k) actions that place an excessive load on the network or system of this Service;
(l) acts that may interfere with the operation of this Service;
(m) unauthorized access or attempts to gain unauthorized access to our network or systems, etc;
(n) act to impersonate a third party;
(o) any advertising, publicity, solicitation, or sales activities on the Service that are not authorized by us;
(p) acts that cause disadvantage, damage, or discomfort to other Members;
(q) to provide benefits to antisocial forces, etc;
(r) actions aimed at meeting people for other purposes other than engaging in tourism activities;
(s) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability;
(t) to submit false or misleading information;
(u) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or of any related website, other websites, or the Internet;
(v) to collect or track the personal information of others;

Although we may provide information and advice to Members from time to time, we assume no responsibility thereby. In no event shall we be a party to any transaction, and we shall not be liable for any defect warranty or any other liability in connection with the registered information.

Members shall investigate at their own responsibility and expense whether or not their use of the Service violates any applicable laws, regulations, or internal rules of any industry organization, and we make no guarantee that the use of the Service by Members will comply with any applicable laws, regulations, or internal rules of any industry organization.

We do not guarantee that the member's use of the Service will comply with any applicable laws, regulations, or internal rules of any industry organization. Members shall be responsible for resolving any problems with third parties, such as other Members, that arise in connection with the Service.

We shall not warrant that e-mails and web contents sent by us in connection with the Service are free of computer viruses or other harmful items.

We shall not bear any costs for equipment or communication lines required for Members to use the Service.

We shall not be liable for any damages incurred as a result of a member's violation of these Terms of Use, etc.

We shall not guarantee that the contents of any transaction made by a member on the Service will meet the member's wishes, be useful, etc. We shall not be liable for any loss or damage arising from the member's violation of these Terms of Use, etc. We shall not be liable for any and all damages incurred by Members as a result of the Service. However, this disclaimer does not apply when the contract between us and a member regarding the Service (including this agreement) is a consumer contract as defined in the Consumer Contract Act.

Even in the case of the proviso in the preceding paragraph, we shall not be liable for any damage arising from special circumstances (including cases where we or a member foresaw or could have foreseen the occurrence of damage) among damages incurred by a member due to default or tort caused by the negligence (excluding gross negligence) of us. We shall not be liable for damages arising out of the negligence of the member.

In the event that we are to compensate a member for damages caused by default or tort due to our negligence (excluding gross negligence), the maximum amount of such damages shall be the amount of the transaction that caused such damages.

SECTION 13 - INDEMNIFICATION

You agree to indemnify, defend and hold harmless 合同会社dekitabi and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, Service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

SECTION 14 - SEVERABILITY

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

These Terms of Service and any policies or operating rules posted by us on this website/application or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service). Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

SECTION 17 - GOVERNING LAW

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the country.

The governing law of these Terms and the Service Usage Agreement shall be Japanese law. For any disputes arising out of or related to these Terms or the Service Usage Agreement, the Tokyo Summary Court or the Tokyo District Court shall have the exclusive jurisdiction of the first instance.

SECTION 18 - CHANGES TO TERMS OF SERVICE

You can review the most current version of the Terms of Service at any time at this page.

We reserve the right, at our sole discretion, to update, change or replace any part of these Terms of Service by posting updates and changes to our website/application. It is your responsibility to check our website/application periodically for changes. Your continued use of or access to our website/application or the Service following the posting of any changes to these Terms of Service constitutes acceptance of those changes.

We may at its discretion revise or supplement the Terms of Service without the consent of Members.

Unless otherwise specified by us, the revised Terms of Use shall take effect from the time they are posted on the site providing the Service.

If a member uses the Service after a change in the Terms of Use takes effect, or if a member fails to cancel their registration within the time period specified by us, the member will be deemed to have agreed to the revised Terms of Use.

Members shall not object or claim to any revision or supplementation of the Terms, and we shall not be liable for any and all damages incurred by Members or others due to changes or additions to the Terms, whether direct or indirect, and whether or not they were foreseeable.

Transfer of status

Members may not assign, transfer, pledge as security, or otherwise dispose of their contractual status between us and Members under the Terms or their rights or obligations under the Terms to any third party without our prior written consent.

In the event that we transfer the business of the Service to another company, we may transfer the contractual status between us and its Members, rights and obligations under the Terms and Conditions, and Members' registered items and other customer information to the transferee of the business transfer in accordance with such business transfer. The business transfer stipulated in this section shall include not only ordinary business transfers, but also company splits and any other cases in which business is transferred.

SECTION 19 - VIEWING OF MESSAGE CONTENT

The Company may view the contents of messages sent between Guides and Travelers via this site, etc., in order to confirm the compliance status of Members with these Terms.

SECTION 20 - INDIVIDUAL REGULATIONS FOR GUIDES SECTION

SECTION 20.1 - APPLICATION

In addition to these Terms and Conditions, these 'Individual Regulations for Guides' shall apply to Guides.

SECTION 20.2 - THIS SERVICE

This site merely provides a system for conducting transactions between Guides and Travelers, and does not guarantee the accuracy, truthfulness, validity, or legality of the information provided by Travelers, nor does it promise the success or failure of transactions.
Guides conduct transactions with Travelers at their own risk.
All registered itineraries provided on this Service are created by Guides at their own risk, and we assume no responsibility for the contents of such itineraries.
When a guide creates an itinerary on this Service, they shall follow the rules for transaction compensation and other settings set forth by us on this site.

SECTION 20.3 - SUSPENSION OF SPECIFIC GUIDE ACCOUNTS

In the event that a specific Guide's account falls under any of the following items, we may suspend the Guide's use of the Service, cancel membership, suspend transactions, or disable the Guide's account without prior notice. The account shall be subject to the set-up rules set forth in the Guide.
-When it is determined that the tour violates the laws and regulations of the country or region in which the itinerary is implemented, the laws and regulations of Japan, or these Terms and Conditions. -When there has been or may be misconduct in connection with the use of the Service.
-When it is determined that the purpose of the registered Itinerary is to educate or solicit a specific religion or ideology.
-When content that is culturally or religiously taboo in the country or region where the registered Itinerary is implemented is registered.
-When contents that are offensive to public order and morals, such as obscene acts, sexual acts, and discriminatory acts, are registered.
-When the applicant is judged to belong to or to have a relationship with antisocial forces or organizations engaged in antisocial activities.
-When we, at our own discretion, deem the information to be inappropriate for any other reason.
We shall not be held liable for any damages incurred by the travel Guide as a result of the preceding paragraph.

SECTION 20.4 - SCREENING OF GUIDE ACCOUNTS

When a member joins this Service and creates a registered product, we may examine the Guide's registration information in accordance with these Terms and Conditions. If the information is found to be in violation of these Terms and Conditions, we will delete the registration information. It shall not be necessary to answer individually as to the reason for deletion of the registration information.

SECTION 20.5 - EXCEPTIONAL CONDITIONS FOR RECEIVING CANCELLATION FEE

If the Guide receives a request for cancellation of an already accepted Tour based on a force majeure or other cause not attributable to the Traveler (the existence or non-existence of such cause shall be reasonably determined by us based on objective reasons), the Guide shall accept the request even if the cancellation period has expired, and the Guide shall consent to such action in advance.

SECTION 20.6 - REFUND POLICY

In the event of a refund due to cancellation, etc., as described in the preceding paragraph, and in the event that we make a payment to the Traveler on behalf of the Guide, we shall make the refund to the Traveler’s source of payment (the Traveler shall bear the handling charge for the refund).

SECTION 20.7 - HANDLING OF TAXES

The Guide shall bear and handle consumption tax and other taxes related to this Service at its own expense and responsibility, and we shall not be involved in any way.

SECTION 20.8 - RESTRICTIONS ON GUIDES

In using the Service, the Guide warrants and covenants the following.
-The Guide warrants that they have the legitimate authority to register the information as an Tour and to use the Service, and that they are not in violation of the laws of the country or region where the Tour is being offered, the laws of Japan, or any contract with the owner or other right holder of facilities, equipment, or other property in connection with the Tour. You also warrant that you have not violated any laws or regulations of the country or region in which the Tour is to be held, any laws or regulations of Japan, or any agreements with the owners or other right holders of facilities or equipment. In addition, if the consent of such parties is required by such laws, regulations, or agreements, the Guide shall obtain such consent before using the Service.
-Guides shall use the Service at their own risk, and we shall not be liable for any damage to or destruction of facilities or equipment under their control as a result of their use of the Service or registration of information in the Tour.
-Guides shall respect the people and culture of the country or region where the Tour is being conducted.

In the event that we, Members, or other third parties suffer damages due to the inaccuracy or untruthfulness of the contents of the preceding paragraphs, the Guide shall be obligated to compensate for any and all such damages.

SECTION 21 - INDIVIDUAL REGULATIONS FOR TRAVELERS SECTION

21.1 - APPLICATION

In addition to the Terms and Conditions, these 'Individual Regulations for Travelers' shall apply to Travelers.

SECTION 21.2 - CONCLUSION OF TRANSACTIONS

Travelers who wish to participate in the Tour shall confirm the details posted on the Site, etc. and make an application on the Site, etc. The transaction between the Guide and the Traveler is concluded when the Travelers submits an application for the Tour.

SECTION 21.3 - PAYMENT OF CONSIDERATION

When a transaction between a Traveler and a Guide is confirmed by the guide, the Traveler payment will be done automatically or the Traveler shall pay the consideration for the Tour and the Service fee by the payment due date posted on this site, etc.

SECTION 21.4 - CANCELATION

If a Traveler cancels a transaction after it has been executed, the Traveler agrees in advance that the cancellation policy posted on the Site, etc. will apply and that a cancellation fee will be charged. In principle, the Traveler shall bear the bank transfer fee associated with the refund, but this shall not apply in the case of cancellation due to reasons not attributable to the Traveler.

SECTION 21.5 - REPORTING

If a Traveler discovers that an Itinerary involving any other Tour that violates related business laws or these Terms and Conditions is posted on the Service, the Traveler shall promptly notify us.
